LKS, Latham Act on Inox Clean Energy’s Acquisition of 1,337 MW Wind-Solar Portfolio From Macquarie: New Delhi: Lakshmikumaran & Sridharan Attorneys (LKS) and Latham & Watkins have acted on Inox Clean Energy Limited’s acquisition of a 1,337 MW renewable energy platform from Macquarie Corporate Holdings Pty Limited and other shareholders, in a transaction that significantly strengthens Inox’s footprint in India’s renewable energy sector.

Inox Clean Energy Limited, part of the INOXGFL Group, acquired the diversified platform comprising wind, solar and hybrid projects. Of the total capacity, around 800 MW is currently operational across multiple states in India.

LKS acted as legal counsel to Inox Clean Energy and advised on the transaction structure, cross-border regulatory aspects, competition law, tax implications, and the negotiation of transaction documents.

The core transaction team leading strategic negotiations and overall deal management included Kunal Arora (Partner), Siddharth Sawhney (Partner), Anupam Misra (Associate Partner), Mitushi Garg (Principal Associate) and Ria Mehta (Associate).

Tax-related aspects of the transaction were advised by a team comprising Karanjot Singh Khurana (Partner), Harshit Khurana (Associate Partner), Giridhar Vasudevan (Principal Associate) and Rishabh Bhatia (Senior Associate). Latham & Watkins, Singapore advised Macquarie Corporate Holdings Pty Limited and the other selling shareholders on the transaction.

The acquisition marks a major step in Inox Clean Energy’s growth strategy and is expected to significantly accelerate its expansion plans. With this transaction, the company is positioned to move closer to its stated goal of achieving 3 GW of renewable energy capacity by FY26, reinforcing its ambition to be a leading player in India’s clean energy transition.
