DMD Advocates Advises Noble Seeds on Proposed Acquisition by BASF’s Nunhems

New Delhi: DMD Advocates has advised Noble Seeds Private Limited on its proposed acquisition by Nunhems India Private Limited, a BASF group company, in a transaction that is expected to strengthen Nunhems’ market leadership in India’s vegetable seeds segment.

Under the proposed deal, Nunhems India Private Limited will acquire 100 per cent of the equity share capital of Noble Seeds. The acquisition will integrate Noble Seeds’ growing portfolio and market presence with BASF’s vegetable seeds business in India, housed under the Nunhems brand.

DMD Advocates provided end-to-end legal support to Noble Seeds and its shareholders, including advice on transaction structuring, negotiation of the share purchase agreement and ancillary documents, as well as assistance on closing-related matters.

The transaction is being led by Vihang Virkar, Lead Partner, Mumbai Corporate Practice Group, along with Partner Monika Deshmukh. They were supported by associates Vanshikha Choraria and Nardeep Chawla.

Noble Seeds Private Limited, headquartered in New Delhi, is among India’s fastest-growing vegetable seed companies. With over 150 employees and a pan-India presence, the company is a leading seller of cauliflower hybrid seeds in the country.

Nunhems, a BASF group entity, operates BASF’s vegetable seeds business in India. Following the acquisition, Nunhems is expected to further consolidate and strengthen its position as a market leader in the Indian vegetable seeds segment.
